兹经双方同意，由委托人指定其代理人为本协议项下的独家/非独家代理人，代表委托人向下述地区推销本协议附件所列的产品。
The parties hereto agree to appoint the Agent as the exclusive / non-exclusive Agent of the Principal to solicit orders for the products listed in the Attachment hereto from the territory stipulated herein.

1. 商品及数量 (Commodity and Quantity)
委托人委托代理人代理下列商品，其代理数量、金额（或约数）为：
The Principal hereby appoints the Agent to act as the Agent for the following commodities with the following quantities and amounts (or approximate figures)：

3. 订单的处理 (Handling of Orders)
代理人负责直接向客户兜揽商品、收取订单，并应及时将收到的订单转交委托人。委托人在收到代理人的订单后，有权根据市场情况接受或拒绝订单。对于被拒绝的订单，委托人应在收到订单后___天内通知代理人。
The Agent shall solicit orders for the commodities and collect the orders from the customers and transmit such orders to the Principal immediately. The Principal, upon receipt of the orders from the Agent, shall have the right to accept or reject the orders according to the market situation. For the rejected orders, the Principal shall notify the Agent within ______ days upon receipt thereof.

4. 佣金 (Commission)
委托人同意按成交价以下列第___种方式支付佣金：
The Principal agrees to pay the commission based on the transaction value according to the following method No. ______：

1. 佣金率为___%，于委托人收汇后___天内支付给代理人。
   The rate of commission: ______% of the transaction value. Such commission shall be payable to the Agent after the Principal has collected all the proceeds of the transaction, and shall be paid within ______ days from the date of receipt of the proceeds.

2. 佣金率为___%，按发票累计金额，每年年底汇总计付。
   The rate of commission: ______% of the invoice value and payable at the end of each year by summarizing the total amount of the invoices.

5. 代理人的义务 (Obligations of the Agent)
代理人应履行下列义务：
The Agent shall undertake the following obligations：

1. 必须以委托人的名义或直接代表委托人从事本合同规定的业务活动；
   Act in the name of the Principal, or directly on behalf of the Principal, to conduct the business activities stipulated herein;

2. 定期向委托人提供必要的市场调查报告；
   Provide the Principal with necessary market reports on a regular basis;

3. 应维护委托人的商业信誉，保守委托人的商业秘密。
   Maintain the goodwill of the Principal and keep confidential the trade secrets of the Principal.

6. 委托人的义务 (Obligations of the Principal)
委托人应履行下列义务：
The Principal shall undertake the following obligations：

1. 代理人代表委托人与客户商谈和签约后，未经代理人同意，不应通过其他渠道在代理区域内销售代理商品；
   After the Agent has negotiated and signed contracts with customers on behalf of the Principal, the Principal shall not sell the commodity in the Territory through any other channels without the consent of the Agent;

2. 应按本合同规定付给代理人佣金。
   Pay the Agent the commission as stipulated herein.

7. 双方关系 (Relationship between Parties)
本协议并不构成或代表任何一方具有雇佣对方或使对方成为自己的合伙人的权利。代理人被授予的权利仅仅是向客户兜揽订单，而并不构成任何代理关系以外的联系。
Nothing in this Agreement shall be construed to create the relationship of employer and employee, or partnership, between the parties hereto. The Agent is granted the right only to solicit orders for the Principal, which shall not be construed as constituting any relationship other than that of agency.

8. 协议的生效与终止 (Effectiveness and Termination of the Agreement)
本协议自双方签字之日起生效，有效期___年。协议期满前___个月，如双方均未提出终止，本协议自动延长一年。若双方欲终止本协议，应提前___个月以书面形式通知对方。
This Agreement shall become effective upon signing by both parties and shall remain in force for ______ year(s). If neither party proposes to terminate this Agreement ______ month(s) prior to its expiry, it shall be automatically extended for one year. Either party may terminate this Agreement by giving a written notice to the other party ______ month(s) in advance.

9. 争议解决 (Dispute Resolution)
因本合同引起的或与本合同有关的任何争议，双方应首先通过友好协商解决。如果协商不成，应提交中国国际经济贸易仲裁委员会，按照申请仲裁时该会现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。
Any dispute arising from or in connection with this Contract shall be settled through friendly negotiation between the parties. If no settlement can be reached through negotiation, the case shall then be submitted to the China International Economic and Trade Arbitration Commission for arbitration in accordance with its rules of arbitration in effect at the time of applying for arbitration. The arbitral award is final and binding upon both parties.

10. 其他条款 (Other Terms/General Provisions)

• 本协议一式两份，双方各持一份，具有同等法律效力。
  This Agreement is made out in two original copies, one for each party, both texts being equally authentic.

• 本协议用中英文书就，两种文字具有同等效力。
  This Agreement is written in English and Chinese. Both versions are equally authentic.

11. 通知 (Notices)
所有有关本协议的通知必须用书面形式送达以下地址。一方地址变更时，应立即书面通知另一方。
All notices in connection with this Agreement shall be sent to the following addresses. If a party changes its address, it shall notify the other party in writing immediately.
