Preamble

The Seller has lawfully obtained the land use right and development rights for the construction of the premises located at [Project Name], in accordance with the law. The project's approval name is _________, and the Pre-sale Permit No. is _________.

The Buyer has agreed to purchase the commodity housing (hereinafter "the Premises") pre-sold by the Seller. In accordance with the "Civil Code of the People's Republic of China," the "Urban Real Estate Management Law of the People's Republic of China," and other relevant laws and regulations, the parties have entered into this Contract through mutual consultation and agreement.


Article 1: Basic Information of the Premises

Article 2: Sale Method

Article 4: Delivery Conditions and Date

Article 5: Area Confirmation and Discrepancy Handling

  1. The floor area of the Premises is measured by an institution with real estate survey qualifications, and the final measured area shall prevail.

  2. In case of discrepancy between the final measured area and the contracted area, if the absolute error rate is within 3% (inclusive), the price shall be settled based on the actual area. If the absolute error rate exceeds 3%, the Buyer has the right to terminate the contract. If the Buyer chooses to continue performance, the price shall be settled as follows: for areas within the 3% error rate, settlement is based on the contracted unit price; for areas exceeding the 3% error rate, the price shall be [adjusted as agreed by both parties].


Article 6: Quality and Decoration Standards

The quality and equipment of the Premises shall comply with national and local relevant standards and the design requirements as specified in the appendix. The decoration and equipment standards shall meet the standards agreed upon by both parties (see Appendix 4). If the standards specified in the appendix are lower than the national or local standards, national or local standards shall apply.


Article 7: Obligations Regarding Title Transfer Registration

The Seller shall, within ___ days after the Premises are delivered for use, apply for the preliminary real estate title registration on behalf of the Buyer and submit the relevant documents to the real estate registration authority. The parties shall jointly apply for the transfer of the title deed within ___ days after the conditions for title transfer registration are met.


Article 8: Liability for Breach of Contract

  1. Delay in Delivery: If the Seller fails to deliver the Premises by the agreed date, the Buyer is entitled to liquidated damages as stipulated in the contract. If the delay exceeds a certain period, the Buyer may have the right to terminate the contract.

  2. Delay in Payment: If the Buyer fails to make payment by the agreed date, the Seller is entitled to liquidated damages as stipulated in the contract.

  3. Title Defects: If the Premises have existing title defects (e.g., mortgage, seizure) at the time of delivery, the Seller shall bear corresponding liability.

  4. Quality Non-compliance: If the quality of the Premises does not meet the agreed standards, the Seller shall be liable for repair, replacement, reduction in price, or compensation for losses.


Article 9: Dispute Resolution

Any dispute arising from the performance of this Contract shall be resolved by the parties through friendly negotiation. If negotiation fails, either party may bring a lawsuit to the people's court with jurisdiction at the location of the Premises, or submit the dispute to _________ Arbitration Commission for arbitration in accordance with its arbitration rules.


Article 10: Miscellaneous
